These Terms & Conditions ("Terms") constitute a legally binding agreement between you ("you" or the "User") and Hyperplane ("Hyperplane," "we," "us," or "our") governing your access to and use of the Hyperplane website, application, and related design tools (collectively, the "Services"). The Services allow you to scan a website URL or submit HTML and receive an editable design.

1. Acceptance of Terms

By accessing or using the Services, you acknowledge that you have read, understood, and agree to be bound by these Terms and our Privacy Policy. If you do not agree, you must not access or use the Services.

2. Eligibility and Accounts

You must be of legal age to form a binding contract to use the Services. You agree to provide accurate and complete registration information and to keep it current. You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account.

3. License to Use the Services

Subject to your compliance with these Terms, Hyperplane grants you a limited, non-exclusive, non-transferable, revocable license to access and use the Services for their intended purpose. You may not resell, sublicense, reverse engineer, decompile, or create derivative works of the Services.

4. User Inputs and Representations

"User Inputs" means any website URL, HTML, or other content you submit to the Services. You represent and warrant that you own or have obtained all necessary rights, licenses, consents, and permissions to scan, copy, process, and otherwise use the User Inputs in connection with the Services. You are solely responsible for your User Inputs and the consequences of submitting them.

5. Acceptable Use

You agree not to, and not to permit any third party to:

• Use the Services for any unlawful, infringing, or fraudulent purpose;
• Scan or process any website or content you are not authorized to access, or that is protected by access controls, paywalls, or terms that prohibit such use;
• Infringe or misappropriate any intellectual property, privacy, or other rights of any third party;
• Disrupt, overburden, probe, or attempt to gain unauthorized access to the Services or their underlying systems.

6. Intellectual Property and Ownership

Hyperplane and its licensors retain all right, title, and interest in and to the Services, including all software, models, and underlying technology. No rights are granted to you except as expressly set out in these Terms.

As between you and Hyperplane, you retain ownership of your User Inputs and the design output generated for you, to the extent you held rights in the underlying source content. You grant Hyperplane a limited license to host, process, and transmit your User Inputs solely as necessary to provide and improve the Services.

7. Third-Party Content

Designs produced by the Services may incorporate assets extracted from the source you submit, such as images, fonts, icons, logos, and code, which may be owned by third parties and subject to their own license terms. Hyperplane does not grant you any rights in such third-party assets, and you are solely responsible for obtaining any licenses or clearances required before using them.

8. Disclaimer of Warranties

The Services are provided "as is" and "as available" without warranties of any kind, whether express or implied, including any warranties of merchantability, fitness for a particular purpose, non-infringement, or that conversion output will be accurate, complete, or error-free.

9. Limitation of Liability

To the maximum extent permitted by law, Hyperplane shall not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits, data, or goodwill, arising out of or related to your use of the Services. Our aggregate liability shall not exceed the amounts paid by you, if any, for the Services in the twelve months preceding the claim.

10. Indemnification

You agree to indemnify, defend, and hold harmless Hyperplane and its officers, employees, and agents from and against any claims, liabilities, damages, losses, and expenses (including reasonable legal fees) arising out of or related to your User Inputs, your use of the Services, or your breach of these Terms.

11. Suspension and Termination

We may suspend or terminate your access to the Services at any time, with or without notice, if we reasonably believe you have violated these Terms. Upon termination, the licenses granted to you will cease, while provisions that by their nature should survive will remain in effect.

12. Changes to These Terms

We may modify these Terms from time to time. Material changes will be reflected by updating the "Last updated" date above. Your continued use of the Services after changes take effect constitutes acceptance of the revised Terms.

13. Governing Law
